CORPORATE GOVERNANCE

The aim of the German Corporate Governance Code is to make the rules applying to corporate management and governance in Germany more transparent for both national and international investors, thus increasing confidence in the corporate management of German listed companies. The latest version of the Code, which includes the amendments approved at the plenary meeting on June 14, 2007, addresses all major criticisms - especially from the international community - levelled against German corporate governance, i.e.:

• inadequate focus on shareholder interests;
• the two-tier system of Management Board and Supervisory Board;
• inadequate transparency of German corporate governance;
• inadequate independence of German supervisory boards;
• limited independence of auditors.

a.i.s. AG will comply with the version dated 26.11.2002 until its next Annual General Meeting and presents the following statement on this basis. The appropriate amendment to comply with the more recent version will only be possible with the approval of an Annual General Meeting.
